Cary, NC — Ply Gem Holdings, the Cary, NC-based manufacturer of exterior building products, has announced an agreement under which private investment firm Clayton, Dubilier & Rice, the majority stakeholder in Wilsonart, will acquire all the outstanding shares of Ply Gem common stock in a transaction valued at about $2.4 billion.
Clayton, Dubilier & Rice (CD&R) is a New York-based private equity investment firm with stakes in a broad range of industries. The company in 2012 acquired a majority ownership stake in the Austin, TX-based Wilsonart, which manufactures high-pressure laminate, quartz, solid surface and other surfacing products for the kitchen and bath, as well as other residential, hospitality and commercial applications. Ply Gem is a major manufacturer of vinyl siding, as well as windows and patio doors, roofing, gutterware and other products used in both new construction and remodeling.
CD&R announced it also entered into an agreement to acquire Atrium Windows & Doors and combine the company with Ply Gem to create an exterior building products company with total revenue of more than $2.4 billion in 2017. The transactions are expected to close in the second quarter of 2018, according to the company.
